Terms of service

1. Agreement and eligibility

By creating an account or using EpicIMS, the customer agrees to these terms and confirms that it has authority to bind its organization. Users must be at least the age required to enter a contract in their jurisdiction and must keep account information accurate.

2. The service

EpicIMS provides multi-tenant invoicing, finance reporting, document delivery, audit and optional Penny AI features. Features may change as we maintain security, legal compliance and reliability. We do not provide tax, accounting, legal or financial advice.

3. Customer responsibilities

• Provide lawful instructions and a lawful basis for customer data, including notices to clients and employees.
• Review invoice details, tax treatment, currency, recipients and Penny suggestions before sending or recording them.
• Protect credentials, configure permitted users, and notify us promptly of unauthorized access.
• Do not upload payment-card numbers, secrets, malware, unlawful content or data the customer is not entitled to process.

4. Data processing and confidentiality

Customer Data is processed under the Data Processing Agreement. Each party will protect confidential information using reasonable administrative, technical and organizational measures. Epicod may process account, billing, support, security and service-operation data as an independent controller under the Privacy Notice.

5. Acceptable use

You may not probe, bypass tenant boundaries, interfere with service operation, reverse engineer security controls, send unlawful or unsolicited messages, use EpicIMS to process prohibited data, or use Penny as an autonomous decision-maker. We may suspend access to prevent imminent harm, security abuse or legal violation and will provide notice where practicable.

6. Financial records and email

EpicIMS helps prepare and transmit records but does not guarantee that an invoice satisfies a particular country's tax or e-invoicing rules. The customer remains responsible for correct data, legal numbering, retention, recipient consent and delivery verification. Email delivery depends on the configured provider and recipient systems.

7. Intellectual property

Epicod and its licensors retain rights in the service, software, documentation and trademarks. The customer retains rights in Customer Data and grants Epicod the limited rights necessary to host, secure, process and provide the service.

8. Fees, suspension and termination

Fees, billing cycles, refunds, service levels, suspension rights, termination assistance, liability limits and governing law must be stated in the applicable order form or commercial agreement. On termination, export and deletion follow the DPA, legal holds and statutory retention obligations.

9. Disclaimers and liability

To the extent permitted by law, EpicIMS is provided without warranties that the service will be uninterrupted or that records will satisfy every jurisdiction's requirements. Nothing limits liability that cannot lawfully be limited, including fraud, wilful misconduct, or mandatory data-protection rights. The final commercial liability cap and exclusions require the executed agreement.
